Vesting for Select Team Members
3.1. Identification of Select Team Members
The Founders may designate up to 4 select team members ("Team Members") who are eligible for equity grants.
3.2. Equity Grant for Team Members
The Team Members shall receive an aggregate of up to 2,000,000 shares, subject to the following vesting terms:
4-Year Vesting Schedule with a 1-year cliff:
Year 1: 25% vesting upon the 1-year anniversary.
Years 2-4: The remaining shares vest monthly over 36 months.
3.3. Terms of Issuance for Team Members
The Company shall issue the shares to the Team Members at a fair market value as determined by the Company’s Board of Directors at the time of grant.
